Host Event Agreement and Purchase Terms

YourSpace LLC

Version 1.0 — Effective upon publication on the Platform

This Host Event Agreement and Purchase Terms (the "Host Agreement") apply to every person who purchases, sets up, hosts or pays for an event on the Platform, whether on the web, in the iOS app, or in the Android app. It is part of the Terms of Service. Capitalized words have the meanings in the Terms of Service.

1. Acceptance at Checkout

1.1 You must check the box that says you have read and agree to this Host Agreement, including the No-Refund Policy, before any payment. Your payment and your use of the event page confirm your agreement.

1.2 You represent that you are at least 18 years old, that you have authority to enter this Host Agreement for yourself and for everyone you act for, and that your payment method is yours to use.

2. What You Are Buying

2.1 You are buying access to the Platform features included in the package shown at checkout for one event (an "Event"), for the event date you provide. Package names, features, lengths and examples shown at checkout or on our websites describe the general scope of the package. They are not guarantees of specific outcomes.

2.2 A package does not include any promise that any minimum number of guests will record or upload, that any minimum amount of footage will be received, that any moment will be captured, or that a Film will be any particular length or style. FILM LENGTH AND CONTENT DEPEND ON WHAT IS UPLOADED. A SMALL AMOUNT OF FOOTAGE MAY PRODUCE A SHORT FILM.

2.3 Features, tiers and prices may change for future purchases. We may substitute a feature of equal or similar function for one that becomes unavailable.

2.4 Timelines (for example, "typical" delivery times) are estimates. They are not promises.

3. NO-REFUND POLICY (READ CAREFULLY)

3.1 ALL SALES ARE FINAL. THERE ARE NO REFUNDS, CREDITS, EXCHANGES, CANCELLATIONS OR CHARGE REVERSALS FOR ANY REASON, INCLUDING: DISSATISFACTION WITH A FILM; LOW OR NO GUEST PARTICIPATION; POOR FOOTAGE; MISSED MOMENTS; CANCELLED, POSTPONED OR CHANGED EVENTS; UNPLUGGED OR PHONE-FREE EVENTS; VENUE RULES; WI-FI, NETWORK, DEVICE, SOFTWARE OR TECHNICAL PROBLEMS; DELAYS; USER ERROR; PURCHASE MISTAKES; OR CHANGE OF MIND.

3.2 THE ONLY EXCEPTIONS ARE (A) A REFUND THAT APPLICABLE LAW REQUIRES US TO GIVE, AND (B) ANY REFUND, CREDIT OR OTHER ACCOMMODATION THAT COMPANY, IN ITS SOLE AND ABSOLUTE DISCRETION, DECIDES TO GIVE IN A PARTICULAR CASE. A DECISION TO GIVE AN ACCOMMODATION ONCE DOES NOT OBLIGATE US TO GIVE IT AGAIN.

3.3 Digital content and services begin to be provided when you gain access to your event page. To the extent the law gives you a right to withdraw from a digital purchase, you request immediate access and you acknowledge that your right to withdraw is lost once access begins, as permitted by law.

3.4 Purchases made through Apple or Google are refunded, if at all, by Apple or Google under their rules. We do not control and are not responsible for their decisions. We may remove access to an Event if a purchase is refunded or reversed.

3.5 If you believe a charge is a mistake, contact us in writing through the Support page before you contact your bank or provider. See Section 19 of the Terms of Service about chargebacks.

4. Payment, Taxes and Fees

4.1 Web payments are processed by Square. We do not receive or store your full card number. Square and your payment provider may apply their own terms.

4.2 You pay the price shown at checkout plus any taxes and fees shown. You are responsible for any other fees charged by your payment provider.

4.3 If a payment fails, is reversed or is disputed, we may suspend or end access, withhold Films, and delete Content after notice, to the extent permitted by law.

4.4 Use the same email. We match your payment to your account by the email address you enter at checkout. YOU MUST ENTER THE SAME EMAIL ADDRESS YOU USED TO SIGN UP. If the email does not match, your Event Pass may be delayed or may not be applied, and we may ask you to verify your payment. We are not responsible for a pass that is applied late or not applied because the email entered at checkout did not match your account.

4.5 Matching the package. Each package has a fixed price. We apply the Event Pass that matches the item you bought and the amount you paid. If the item or amount does not match a package, we may hold the payment for review.

5. Host Responsibilities

You agree that you are solely responsible for, and will do each of the following:

5.1 Notice of recording. Clearly tell every attendee before and at the Event that guests, the Host and the Platform may record video, photos and audio, that recordings may be shown to other guests and in a Film, and that the Host controls the Film. Use the printable notice, the invitation text and the announcement script in the Host dashboard, or notices at least as clear.

5.2 Consents and permissions. Obtain every consent, permission, release and approval required by law or by any venue, officiant, religious or civil authority, performer, vendor or other person for recording, display and use. This includes consents for audio recording where required, and consents of parents or guardians for minors.

5.3 Event rules. Decide and enforce any phone-free or unplugged rules, and tell guests which parts of the Event may or may not be recorded.

5.4 Content you add. Ensure that any Content you upload, or that you invite others to upload, complies with the law and the Acceptable Use and Content Moderation Policy.

5.5 Invitations and access. Share the event link and QR code only with people you intend to invite. You are responsible for who accesses it.

5.6 Backup. Download and keep your own copies of all Films and Content you want to keep, within the retention period. Keep your own backups of anything that matters.

5.7 Professional services. If any moment, speech, ceremony or footage is important to you, engage a professional videographer or photographer. The Platform is not a substitute.

5.8 Accurate information. Provide accurate event information and a working email address, and check your spam folder.

5.9 Local law. Follow all laws that apply to your Event.

6. Host Representations and Indemnity

6.1 You represent and warrant that you will comply with Section 5, that you have authority to bind the people for whom you act, and that you have all necessary rights to accept the Terms on their behalf as to Host matters.

6.2 You will defend, indemnify and hold harmless the Company Parties as provided in Section 17 of the Terms of Service, including from any claim by any attendee, venue, vendor, officiant, performer, parent or other person arising out of recording, notice, consent, privacy, publicity, or the Event.

7. Event Changes, Cancellation and Postponement

7.1 You may request a change to the Event date in the Host dashboard. We may allow or refuse any change in our sole discretion. A change request does not create any right to a refund or credit.

7.1A Changing the date yourself. While your Event is open, the Host dashboard lets you change the Event date yourself, up to five (5) times, until the day before the current Event date. Once the Event date arrives, the date can no longer be changed. A date change does not change your package, creates no right to a refund or credit, and does not affect Section 3. The seven (7) day period in Section 7.3 is counted from the new Event date. Your join code and QR code stay the same.

7.2 If your Event is cancelled, postponed or moved, the purchase remains final under Section 3. We may, but are not required to, offer a credit in our discretion.

7.3 An Event page remains open for guest uploads until the Host taps the "Event is over, send to studio" button in the Host dashboard or app, or until seven (7) days after the Event date, whichever comes first (the "Upload Window"). We may close or reopen it at any time. We have no obligation to accept uploads after the Upload Window or to include late uploads in a Film. Tapping the button or the passing of the seven days starts the preparation of your Film and cannot be undone.

7.4 Event Pass. Your purchase gives your account one Event Pass. You use the Event Pass when you create an Event. One Event Pass is good for one Event. An Event Pass does not expire in this version of the Platform, is not transferable except by the gift process described in Section 11, and has no cash value.

7.5 Joining and guest access. Guests join your Event using the code or link the Platform gives you and must accept the Guest Agreement. A Guest's access to your Event is limited to that Event and ends when the Event is closed. A Guest may delete only the Content the Guest uploaded, only while the Event is open. You, as Host, may remove any Content from your Event. Guests do not receive your Film unless you share your Memory Link.

7.6 Submitting to the studio. When you tap "Submit to studio," or when seven (7) days have passed after the Event date, the Event is submitted, uploads are locked, and the Content is sent to us for preparation of your Film, a set of selected photos and a booth reel. Guests may tap "I'm done" to tell you they have finished, but that is only a signal and does not lock the Event.

7.7 Closing the Event. After delivery, we may close the Event. Closing ends all Guest access to the Event. You keep access to your Vault as Section 9 describes. You may create another Event by using another Event Pass.

8. Delivery, Review, Retries and Accommodations

8.1 When uploads are processed, we prepare a Film. Depending on the package, a Company reviewer may review the Film before delivery. We deliver by email and through the Platform.

8.2 If you are not happy with a Film, you may submit a tweak request in the Host dashboard. Any re-cut, change, extension, credit or other accommodation is in our sole discretion. We may limit the number and scope of changes. We may decline requests that would require footage that does not exist.

8.3 We may deliver a shorter Film, a montage, a booth-only reel, or a different format if the footage received does not support the package's described length. This is not a failure of the package or a basis for any refund.

9. Keepsake Vault, Retention and Deletion

9.1 Included storage. Every package includes the Keepsake Vault at no extra charge. The Keepsake Vault is our service of storing, for the Vault Period, (a) the finished Film or Films delivered for your Event, (b) a gallery of the photos and videos uploaded to your Event at viewing quality, and (c) the original files uploaded to your Event, up to the Storage Cap for your package (together, the "Vault Contents"), and giving the Host access to them through a private link (a "Memory Link") and the Host dashboard.

9.2 Vault Period. "Vault Period" means the period beginning on delivery and ending when the Service is discontinued under Section 9.6, when the Vault Contents are deleted under Section 9.5 or Section 9.7, or when the Host deletes them. Words such as "forever," "lifetime" or "permanent" used anywhere on the Platform or in marketing mean only this Vault Period and are subject to this Section. WE AIM TO KEEP THE VAULT CONTENTS AVAILABLE FOR ABOUT SEVEN (7) YEARS AFTER DELIVERY, BUT THAT IS AN AIM AND NOT A PROMISE, GUARANTEE OR CONDITION OF YOUR PURCHASE. WE MAY STOP SOONER FOR ANY REASON DESCRIBED IN THIS SECTION 9, INCLUDING IF THE SERVICE ENDS SUDDENLY AND WITHOUT NOTICE. WE CANNOT KNOW WHAT THE FUTURE HOLDS, SO PLEASE DOWNLOAD AND KEEP YOUR OWN COPIES.

9.3 Storage Caps. The Storage Cap for original files is twenty-five (25) gigabytes per Event for the Essentials package, fifty (50) gigabytes per Event for the Signature package, and one hundred (100) gigabytes per Event for the Cinematic package. If uploads exceed the Storage Cap, we may decline to store, or may delete, the excess (in our discretion, the largest or oldest files) while keeping the gallery copies and the Film. We may offer additional storage for a fee, but have no duty to.

9.4 How we may store. We may change storage providers, formats and locations. We may move original files to slower or colder storage, which may make retrieval slower. We may convert gallery copies to other sizes and formats. We may keep the Film and gallery copies readily available and make original files available on request through the Platform.

9.5 Inactivity. If no one signs in to the Host account and no one opens the Memory Link for sixty (60) consecutive months, and we send at least three (3) notices to the Host's email address on file over at least ninety (90) days without a response or a visit, we may delete the original files and gallery copies, and, after a further thirty (30) days, the Film.

9.6 Discontinuing the Service. We may suspend or discontinue the Service, in whole or in part, at any time and for any reason, including a sale, dissolution, insolvency, legal or regulatory action, loss of a provider, security incident or any other event. We will aim to give at least ninety (90) days' notice by email to the Host's email address on file so the Host can download the Vault Contents, but we will give whatever notice we reasonably can in the circumstances, which may be shorter than ninety (90) days and, if circumstances do not allow, may be no notice. After the notice period, or immediately if no notice is possible, we may delete everything. Our aim to give ninety (90) days' notice is not a promise or a condition, and we have no liability if we give less.

9.7 Deletion and legal removal. The Host may delete Vault Contents at any time in the Host dashboard. We may delete or restrict Vault Contents at any time if we believe they violate the Terms, the Policies or the law, or if required by law, a court order, or a platform provider.

9.8 Memory Link access. A Memory Link uses an address that is hard to guess, and the Host may add a passcode. ANYONE WHO HAS THE MEMORY LINK AND ANY PASSCODE MAY VIEW AND DOWNLOAD THE VAULT CONTENTS. The Host is responsible for who receives the link. We may re-issue or disable a Memory Link at any time.

9.9 Keep your own copies. THE KEEPSAKE VAULT IS A CONVENIENCE AND IS NOT A BACKUP, ARCHIVE OR ESCROW SERVICE, AND WE DO NOT PROMISE THAT ANY FILE WILL ALWAYS BE AVAILABLE, COMPLETE OR UNCORRUPTED. DOWNLOAD AND KEEP YOUR OWN COPIES OF EVERYTHING YOU CARE ABOUT. WE ARE NOT LIABLE FOR ANY DELETION, LOSS, CORRUPTION, DELAY OR UNAVAILABILITY OF CONTENT FOR ANY REASON.

10. Music and Shared Films

10.1 Music in Films comes from a library of third-party instrumental tracks selected for commercial use. We may display required music credits on a Film.

10.2 You may share your Film with family and friends and on your personal social media accounts for personal, non-commercial purposes. You may not sell, license, broadcast commercially, or use a Film in advertising or for commercial purposes without our written permission.

10.3 Social media and video platforms may flag or mute content for reasons beyond our control. We are not responsible for any such action.

11. Gifts

11.1 A Gifter may pay for an Event for a Host. The Gift is subject to this Host Agreement and to the No-Refund Policy. Gifts are final.

11.2 After payment, the Gifter receives a gift code by email at the email address entered at checkout. The Gifter gives the code to the recipient, or enters the recipient's email address on our Platform so we can send it. The recipient redeems the code in their account to receive one Event Pass of the package that was bought. The Gifter has no rights in the Content or the Film unless the Host gives them access. We do not share the Gifter's payment details with the recipient.

11.3 If the Host does not accept, does not hold an Event, or does not use the Gift, the Gift is not refundable or transferable unless we decide otherwise in our sole discretion.

11.4 A Gifter represents that they have authority to use their payment method and will not use gifts for fraud or money transfer.

12. No Subscriptions and Additional Storage

12.1 Packages are one-time purchases. Nothing in this Host Agreement automatically renews or bills you again.

12.2 If we offer additional storage or other add-ons in the future, the price and terms will be shown at the time of purchase, and any renewing charge will be clearly disclosed and will require your separate consent.

13. Disclaimers and Limits

13.1 Sections 3 and 14 through 17 of the Terms of Service apply fully to this Host Agreement.

13.2 YOU ACKNOWLEDGE THAT: THE EVENT IS A ONE-TIME OCCASION; THE PLATFORM IS A LOW-COST SOFTWARE SERVICE AND NOT A PROFESSIONAL RECORDING SERVICE; THE COMPANY HAS NO CONTROL OVER GUESTS, DEVICES OR NETWORKS; AND THE COMPANY IS NOT LIABLE FOR ANY MOMENT THAT IS NOT CAPTURED OR DELIVERED. THE LIABILITY LIMITS IN THE TERMS OF SERVICE APPLY EVEN IF THE PLATFORM FAILS ENTIRELY.

14. Evidence Preservation

You agree that our records of your acceptances, payments, event setup, uploads, reviews, deliveries and communications are evidence of what occurred. We may keep and use them to respond to disputes, chargebacks and legal claims.

15. Changes and Entire Agreement

We may update this Host Agreement as stated in the Terms of Service. This Host Agreement and the Terms of Service are the entire agreement for your purchase.
